1. Introduction & Acceptance

Welcome to Corgeat (the "Service"), operated by Corgeat, ("Corgeat", "we", "our" or "us").

This Terms of Service Agreement (the "Agreement" or "Terms") is a legal agreement between you ("you," "your," or "User") and Corgeat for use of our website at corgeat.com (the "Website"), and all related services, features, and content (collectively, the "Service").

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you may not access or use the Service.

These Terms incorporate our Privacy Policy , which is made part of this Agreement by reference.

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your personal, non-commercial purposes
• Download and install the App on devices you own or control
• View, download, and print Content for personal use only

Restrictions. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Rent, lease, loan, sell, sublicense, or distribute the Service
• Remove or alter any proprietary notices or labels
• Use the Service for any commercial purpose without our written consent
• Circumvent any security or access controls

5. Description of Service

Corgeat is a meal planning and grocery management platform that provides:

• Meal Planning: Create and organize weekly/daily meal plans
• Recipe Management: Browse, create, and save recipes with nutritional information and price
• Grocery Lists: Generate shopping lists from meal plans with ingredient aggregation
• Nutrition Tracking: Track calories, macronutrients, and costs per serving
• Ingredient Database: Access nutritional information and pricing data

The Service is for informational purposes only. See Section 18 for important health disclaimers.

6. Service Modifications

We reserve the right to:

• Modify, update, or discontinue any part of the Service at any time
• Add or remove features without prior notice
• Change the scope of Free Tier and Premium Subscription features
• Perform scheduled or emergency maintenance

We will make reasonable efforts to provide advance notice of material changes. Your continued use of the Service after changes constitutes acceptance of the modified Service.

7. Account Registration

Creating an Account

To access certain features, you must create an Account using one of the following methods:

Option 1: Email and Password

• Provide a valid email address
• Create a secure password

Option 2: Google Authentication

• Sign in using your Google account
• We will receive your email address and basic profile information from Google

By using Google Authentication, you authorize us to access the information provided by Google in accordance with our Privacy Policy and Google's terms of service.

You agree to:

• Provide accurate, current, and complete information
• Update your information promptly if it changes
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your Account
• Notify us immediately of any unauthorized access

Account Restrictions

• You may maintain only one Account per person
• You may not create an Account using false information or on behalf of another person
• You may not share your Account credentials with others
• You may not use another person's Account without permission

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms.

Prohibited Activities

You shall not:

• Upload content that infringes intellectual property rights
• Post false, misleading, defamatory, or fraudulent content
• Distribute spam, viruses, malware, or harmful code
• Share content that is obscene, offensive, or promotes illegal activity

Technical:

• Access the Service through automated means (bots, scrapers, spiders)
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Circumvent security features or access controls
• Use the Service to compile data for competitive purposes

Commercial:

• Use the Service for unauthorized commercial purposes
• Advertise or solicit without our prior written consent
• Resell or redistribute the Service

We reserve the right to investigate violations and take appropriate action, including suspending or terminating your Account.

9. User Content

Your Submissions

When you submit User Content (recipes, meal plans, images, comments, etc.), you:

• Retain ownership of your original content
• Grant us the rights described below
• Represent that you have the right to submit such content
• Accept responsibility for your submissions

License to Us

By submitting User Content, you grant Corgeat a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:

• Use, reproduce, modify, adapt, and display your User Content
• Distribute and make available your User Content through the Service
• Create derivative works from your User Content
• Use your User Content for promotional purposes

This license continues even if you stop using the Service, except that we will remove your personal profile information upon account deletion.

Content Standards

User Content must not:

• Infringe any third-party rights (copyright, trademark, privacy)
• Contain false or misleading information
• Be defamatory, obscene, or offensive
• Violate any applicable law or regulation

We reserve the right to remove any User Content that violates these Terms.

10. Free and Premium Tiers

Free Tier

The Free Tier provides limited access to the Service, including:

• Basic meal planning features
• One grocery list
• Access to public recipes
• Limited nutritional tracking

Premium Subscription

Premium Subscription provides enhanced features, including:

• Unlimited meal plans
• Multiple grocery lists
• Serving size scaling
• Advanced nutritional analytics
• Priority customer support
• Additional premium features as introduced

Feature availability may vary and is subject to change.

11. Subscription Terms

Subscription Plans

Premium Subscriptions are offered on:

• Monthly basis
• Annual basis (with discount)

Free Trial

We may offer a free trial period for new subscribers. During the trial:

• You will have access to Premium features
• Your payment method may be required upfront
• You will not be charged during the trial period
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription

Auto-Renewal

All subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method for each renewal period.

Cancellation

You may cancel your subscription at any time:

• In-App: Profile > Manage Subscription > Cancel subscription
• Email: Contact contact@corgeat.com

Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until then. No refunds are provided for partial billing periods.

12. Payment Processing

Payment Methods

Payments are processed through:

• Paddle (web subscriptions)

We do not store your complete payment information. All payment processing is handled by this secure third-party provider.

Billing

• Subscription fees are billed in advance
• Failed payments may result in suspension of Premium features

Refund Policy

Refund may be requested within 14 days of the original purchase date or the first renewal charge.

This does not affect your rights as a Consumer in relation to Products which are not as described, faulty or not fit for purpose.

Payment by Wire Transfer

It's your responsibility to provide the correct payment details (your unique bank transfer reference number), Company VAT / sales tax code and order information to avoid delays in your order fulfilment, as Paddle may be unable to reconcile or refund such transactions.

Orders where payments are made via wire transfer are not protected under the CCA (Consumer Credit Act) and are therefore not eligible for a refund. However, in cases where the transaction amount, including sales tax or where the sales tax refund is above €100, you may be entitled to a refund including the sales tax you paid, at Paddle's discretion.

Indirect Sales Tax Refund Policy

If you've been charged sales tax on your purchase and are registered for sales tax in the country of purchase, you may be entitled to a refund of the sales tax amount if permitted by the laws applicable in such country. Sales taxes include VAT, GST, Consumption Tax and others as applicable from time to time. For wire transfers, please refer to the Wire Transfer section above for more information regarding eligibility of sales tax refunds.

You must contact Paddle within 60 days after completing the purchase to be eligible for a sales tax refund. This refund will only be processed upon the provision of a valid sales tax code for your country.

To request a refund, please contact Paddle Support.

13. Price Changes

We reserve the right to change subscription prices at any time. If we change prices:

• We will provide at least 30 days notice before the change takes effect
• Price changes will apply to the next billing cycle after the effective date
• Your continued use after the price change constitutes acceptance
• You may cancel your subscription before the new price takes effect

14. Intellectual Property Rights

Our Ownership

Corgeat and its licensors own all rights, title, and interest in:

• The Service and all related technology
• Our trademarks, logos, and brand elements
• All Content provided through the Service (excluding User Content)
• All improvements and modifications to the Service

Trademarks

Corgeat, the Corgeat logo, and all related names, logos, and slogans are trademarks of Corgeat. You may not use these trademarks without our prior written consent.

15. User Content License

See Section 9 for the license you grant us regarding User Content. We do not claim ownership of your User Content, but we require sufficient rights to operate and improve the Service. You are solely responsible for your User Content and the consequences of posting it.

16. Third-Party Content

The Service may include content from third parties, including:

• Recipes and nutritional information from external databases
• Pricing data from grocery stores
• Integrations with third-party services

Third-Party Content is provided "as is." We do not guarantee its accuracy, completeness, or reliability. Your use of Third-Party Content is at your own risk.

Third-Party Content may be subject to additional terms and conditions from the respective providers.

17. Copyright Policy (DMCA)

We respect intellectual property rights and expect users to do the same.

Reporting Infringement

If you believe content on the Service infringes your copyright, please send a notice to our designated agent with:

1. A physical or electronic signature of the copyright owner or authorized agent
2. Identification of the copyrighted work claimed to be infringed
3. Identification of the allegedly infringing material and its location
4. Your contact information (address, phone number, email)
5. A statement that you have a good faith belief the use is not authorized
6. A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

Counter-Notification

Repeat Infringers

We may terminate accounts of users who repeatedly infringe copyrights.

18. Health and Medical Disclaimer

The Service provides general information about nutrition, meal planning, and healthy eating for informational purposes only. This information:

• Is not a substitute for professional medical advice, diagnosis, or treatment
• Should not be used to diagnose or treat any health condition
• Does not constitute a recommendation for any specific diet or treatment

Before starting any diet, exercise program, or making changes to your health regimen, consult with a qualified healthcare professional.

Nutritional Information

Nutritional data provided through the Service is based on available databases and user-submitted information. We do not guarantee:

• The accuracy or completeness of nutritional information
• That nutritional data meets your specific dietary needs
• That recipes are safe for individuals with allergies or medical conditions

Always verify nutritional information and ingredient safety, especially if you have food allergies, intolerances, or medical conditions.

Grocery Pricing

Store pricing information is provided for estimation purposes only and may not reflect current prices at your local stores.

19. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:

• Merchantability - fitness for a particular purpose
• Non-infringement - that the Service does not infringe third-party rights
• Accuracy - that Content is accurate, complete, or reliable
• Availability - that the Service will be uninterrupted, timely, or error-free
• Security - that the Service is free from viruses or harmful components
• Results - that the Service will meet your requirements or expectations

Some jurisdictions do not allow disclaimer of implied warranties, so some of the above may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Exclusion of Damages

Corgeat, its officers, directors, employees, agents, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Cost of substitute services
• Personal injury or property damage
• Unauthorized access to your account or data
• Errors, mistakes, or inaccuracies in Content
• Service interruptions or failures
• Any third-party conduct on the Service

Liability Cap

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of:

• The amounts you paid to us in the 12 months preceding the claim, or
• One hundred euros (100 EUR)

21. Indemnification

You agree to defend, indemnify, and hold harmless Corgeat, its officers, directors, employees, agents, licensors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

We reserve the right to assume exclusive defense of any matter subject to indemnification. You agree to cooperate with our defense of such claims.

22. Termination

Termination by You

You may terminate your Account at any time by:

• Deleting your account through Profile > Delete Account
• Contacting us at contact@corgeat.com

Account termination does not entitle you to a refund of any prepaid fees.

Termination by Us

We may suspend or terminate your Account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service
• We believe your conduct may harm us, other users, or third parties

Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• You must cease all use of the Service
• We may delete your Account and associated data
• Provisions that by their nature should survive will continue (including Sections 14, 19, 20, 21, and 25)

23. Dispute Resolution

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of France, without regard to conflict of law principles.

For consumers residing in the European Union, this choice of law does not deprive you of the protection afforded by provisions that cannot be derogated from by agreement under the laws of your country of residence.

Informal Resolution

Before initiating any formal proceedings, you agree to contact us at contact@corgeat.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction

Any disputes arising from or relating to this Agreement or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France, except where mandatory consumer protection laws grant you the right to bring proceedings in the courts of your country of residence.

European Union Online Dispute Resolution

If you are a consumer residing in the European Union, you may be entitled to use the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes online. The ODR platform is available at: https://ec.europa.eu/consumers/odr

Consumer Rights

Nothing in these Terms shall affect your statutory rights as a consumer under applicable EU or national law, including but not limited to:

• The right to withdraw from distance contracts within 14 days
• Protection against unfair contract terms
• Remedies for non-conformity of digital content or services

24. Statute of Limitations

Any claim or cause of action arising from or related to the Service or these Terms must be filed within one (1) year after the claim arises, or be permanently barred.

25. Communications

By using the Service, you consent to receive communications from us, including:

• Transactional emails: Account confirmations, password resets, receipts
• Service announcements: Updates, maintenance notices, security alerts
• Marketing communications: Newsletters, promotions (with opt-out option)

You may opt out of marketing communications at any time through your Account settings or by clicking "unsubscribe" in any email.

We may also send push notifications if you enable them. You can manage push notification preferences in your device settings.

26. General Provisions

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and us regarding the Service.

Headings

Section headings are for convenience only and do not affect interpretation.

No Third-Party Beneficiaries

Except as expressly stated (e.g., app store providers), there are no third-party beneficiaries to these Terms.

27. Changes to These Terms

We may modify these Terms at any time. When we make changes:

• We will post the updated Terms on this page
• We will update the "Last Updated" date
• For material changes, we will provide notice via email or in-app notification

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.
